The General Partner
The general partner of the Partnership is Kingdom Venture Capital,
LLC
( the "General Partner"), a Texas limited liability corporation.
The General
Partner has responsibility for all investment decisions
made by the Partnership.
The Principals are Dr. Bruce Cook,
Rob
Moss and Steve Tarr, who serve as officers
of the
General Partner
and direct
the investments of the Partnership. The Principals
share
similar
values and investment philosophies, and complementary
skill sets,
abilities, experiences, educational
backgrounds, and
networks.
The Investment Manager
Kingdom Venture Management, LLC, a Texas limited liability corporation
(the "Investment Manager"), will provide management services,
including investigating, structuring and negotiating potential
investments, monitoring the performance of Portfolio Companies
and Investment Vehicles and advising the Partnership as to disposition opportunities.

Austin Office
Dr. Bruce Cook
Bruce Cook, Ph.D., has significant experience and expertise in business consulting, fundraising,
private equity investments, alternative asset portfolio allocation, business development, marketing,
corporate communications, research and higher education, and is considered a leading authority on
fundraising, private equity and philanthropy. He is Managing General Partner of Kingdom Venture
Partners, which he co-founded in January 2006, and also serves as the President of
VentureAdvisers, Inc, which he founded in January 2000. During the last six years he has provided assistance to a number of private equity partnerships and private companies in Texas, California, New York, Oregon, Utah and the Southwest.
During 1999 Dr. Cook was Vice President of Venture Services for eCom Holdings Network, Inc., a
business incubator/accelerator consulting firm serving the emerging technology industry in Texas.
Prior to that he served as Director of Corporate Relations for Intelitrak Technologies, Inc., an
Austin-based high-tech company providing network and Internet security solutions using biometric
voice verification technology. Previously he was Research Coordinator for the University of Texas
Investment Management Company (UTIMCO), with $16B in assets under management, where he was a member
of the Private Markets team responsible for alternative asset investments averaging $500M per year.
Earlier in his career he was a university administrator for 10 years and a bank manager for five years.
Dr. Cook earned a Ph.D. in 1994 from The University of Texas at Austin, graduating summa cum laude.
His doctoral dissertation, entitled
Courting Philanthropy: The Role of University Presidents
and Chancellors in Fund Raising, provided pioneering data and theoretical models on the role of
university presidents and chancellors in fundraising. Dr. Cook has published a number of articles in
national trade magazines and scholarly journals and is the co-recipient of the 1998 Grenzebach Award
for Outstanding Published Scholarship on Fundraising from the Council on Advancement and Support of
Education (CASE) in Washington, D.C. During 1980 he researched and wrote the history of a rural
farming community in Arkansas through a grant from the Arkansas Endowment for the Humanities; a
subsequent book was published in 1981,
The History of McRae, Arkansas. His responsibilities
and experiences have included the following:
- Conducting due diligence for multi-million-dollar investments ($10-100M) for a large
institutional investor
- Securing and negotiating equity capital investments from venture capital firms, angels, and institutional investors
- Writing and revising business plans, executive summaries, and investor presentations
- Recruiting management team members and Board members for private companies and limited partnerships
- Strategic consulting on branding, fundraising, sales and distribution channels, and business models
- Business development activities with potential strategic partners/customers/affiliates
- Conducting fundability assessments of companies
- Managing department responsible for $10M in daily transactions for largest bank in Arkansas
- Coordinating corporate media and investor relations efforts
- Overseeing marketing, advertising and trade show initiatives
- Co-chairing a university-sponsored regional Invention and Design Contest for several years
- Serving in support roles for four different capital campaigns in higher education
- Serving on and chairing numerous committees, task forces, and nonprofit boards of directors
- Chairing the public relations efforts for a successful multi-million-dollar city bond election
- Co-founding and serving as chairman of a regional community festival
- Serving as liaison for endowed American Studies university lecture series

Roundtable (MAR) and the City Leader for Austin Gathering of Angels (GOA). He is a 1977 graduate
of The University of Arkansas at Little Rock and completed a masters degree in 1980 at Harding
University. He and his wife have two grown children and enjoy travel, music, reading, writing,
and the outdoors.

Rob Moss
Phoenix resident Robert J. ("Rob") Moss, CCA (Certified Capital Advisor / Certified Charity Advisor),
is a General Partner of Kingdom Venture Partners, LP and was a founding principal of the Capital Consortium
(
www.C2-CapitalConsortium.com), where he completed ten company
financings in 2004 totaling $25 million in private funding.
He has
over sixteen (16) years of sales, marketing and corporate finance experience and has
generated several hundred million dollars of commercial financing and funding commitments
to clients in a myriad of industries. C2 is a strategic investment banking and financial
advisory firm and works directly with the Business Development Partnership Alliance
(
www.BDPalliance.com) resource network that brings business
together and has developed a 'Toolbox of Deployable Assets.'
Founded by Mr. Moss in 1995 as a collective marketing approach, BDP was utilized in-house
as the deal flow engine of Stirling Capital Corp. between 1997-2001 and supported the
infrastructure of the Arizona Accelerator (2001). It was changed to going into partnership
for business development assistance in 2001, after the model was verified and proven

Mr. Moss previously held the position of V.P. - Bus. Dev. for Stirling Capital Corp. from 1997-2001, where he established

advisory services. Mr. Moss received Associate degrees in Medical Studies and Business Administration from Iowa State
University in 1987, transferring to Eastern Illinois University after serving in the U.S. Army (NCO-E6) Medical
Specialist and receiving a B.Sc. in Community Health in 1989. Mr. Moss was the youngest professional ever awarded
a membership in International Mergers & Acquisitions, Inc. In 1996, he was inducted into the International Who's
Who of Investment Banking and he is also a recent inductee into the Who's Who of Information Technology. Mr. Moss has
completed many graduate seminars and workshops for CE and holds certificates in the financial services industry and
will complete The Masters Program in December 2005.

Austin Office
Steve Tarr
Stephen (“Steve”) Tarr is a General Partner of Kingdom
Venture Partners, LP and was most recently a Managing Director and co-founder of
The K4C Group, Austin, TX, where he actively provided business, management,
financial, and venture strategy consulting
services to emerging growth companies. Mr. Tarr is a highly proven veteran of
the venture investment and management consulting industries and a business
growth specialist with a very strong financial and deal
transaction background. He has over 15 years of private equity, business
management, and entrepreneurial experience through participation in venture
investment partnerships, start up companies, and Fortune 500 companies.
Mr. Tarr began doing venture investing in 1995 when he joined Prime New
Ventures, an Austin, Texas based venture investment group. Prime, with $150
Million under management through 2 fund cycles, was specifically focused on
telecommunications services, new media, and the Internet. While at Prime, Steve
focused his activities primarily on growth and seed stage opportunities in the
telecom services, broadband, Internet, hosted applications, and on-line services
and technology areas.
In November of 2000, Steve left Prime to pursue a new set of opportunities that
included working on a Video Communications project in conjunction with AV Labs
(an Austin-based venture accelerator fund), a wireless
services data project, a web services software provider, and a non-profit
organization focused on raising up new leaders to plant high impact
churches throughout North America.
Prior to moving to Austin, Mr. Tarr worked in Corporate Development at
WilTel Telecommunications Company (now Worldcom), facilitating potential
mergers, acquisitions, and joint venture opportunities. He also served as an
Economic Analyst and Product Manager for the Louisville Gas & Electric Company,
where he did utility load forecasting, econometric model development, and
special projects organization, development, and
implementation.
Mr. Tarr has an MBA from the McCombs School of Business at the University of
Texas as well as an undergraduate degree in Economics and Mathematics from the
University of Tulsa. He currently serves on the Board of Directors at Gateway
Community Church in Austin. He is also a life
member of the Mensa Society.
